Subcontract advisor for Office of the General Council
Job Description:
**This position can be located in either El Segundo, CA or Plano, TX***
In coordination with the Office of General Counsel:
- Provide procurement advice and negotiation assistance in connection with the negotiation of terms and conditions of subcontracts, Raytheon and Supplier changes, Proprietary Information Agreements, software licenses, collaborative agreements, terminations and other procurement related agreements and actions with suppliers;
- Analyze and train the Business Supply Chain (SC) organization on issues related to the Truth in Negotiations Act (TINA), Cost Accounting Standards, use and protection of proprietary information terms and conditions and performance based payments;
- Provide first level support in the review of special consulting agreements, university research agreements, and agreements with other federal or private nonprofit research institutions;
- Approve Performance Based and Milestone Payment Plans and changes thereto in accordance with Raytheon policies and procedures;
- Provide first level oversight and guidance for subcontractor or supplier terminations for convenience or default;
- Assist, train and mentor the Business SC organization in a wide array of procurement issues.
- Maintain expertise in and train others within SC regarding the operation and use of:
- · The Federal Acquisition Regulations (FAR);
- · DoD Federal Acquisition Regulation Supplements (DFARS);
- · Uniform Commercial Code (UCC);
- · Other governmental regulations and policies
- Work with appropriate functions outside of SC to ensure compliance with FAR/DFARS, TINA, government regulations, applicable prime contract and higher tier subcontract terms and conditions and requirements and Raytheon policies and procedures.
- Collaborate with the Contracts organization in the review of proposed prime contract terms and conditions to ensure compliance by SC is feasible, the prime contract terms are complete, and that subcontractors and suppliers are reasonably protected.
- Participate with the Raytheon Subcontract Advisory Group (RAYSAG) in the development and dissemination of Raytheon standard terms and conditions of purchase.
- Review Supply Chain contract and form templates.
- Assist in the preparation of supplier due diligence review materials for international procurements.
- Assist in the development and negotiation of collaboration agreements with prospective subcontractors and suppliers, including teaming agreements.
- Assist SC buying staff in analyzing export and import control requirements when dealing with foreign entities and coordinating with the Ex/Im OPS organization.
- Assist corporate level projects and operation groups in the development of new policies, processes, and procedures, when invited.
- Assist in developing, negotiating and processing of alternatives to teaming agreements.
Required Skills:
- At least 8 years of experience within an office of the General Counsel, aerospace or defense contracting or related experience
- Experience with issues related to the Truth in Negotiations Act (TINA)
- · Experience with the Federal Acquisition Regulations (FAR) and DoD Federal Acquisition Regulation Supplements (DFARS)
- · Experienced communicator and presenter to all levels of management including the Executive Leadership
Desired Skills:
- JD Degree or other advanced degree is desired
- MBA preferred
- Ability to travel up to 10% of the time
- Ability to obtain a Secret Security Clearance
Required Education:
- · Bachelor’s Degree (B.S. or B.A.) in business, finance, contracts, law or related field
