Description
Department Function: Responsible for processing legal documents, contract review and negotiations; assisting attorneys in their legal and regulatory functions.
Position Summary: Provide an advanced level of support to attorneys in processing legal documents and research. Effectively communicate and relate well with regulators, Participants and various levels of management at DTCC.
Principle Responsibilities:? * Analyzing/summarizing legal documents, records and other factual information, including sophisticated or technical information related to legal issues. * Drafting, reviewing and negotiating contracts and other legal documents. * Providing assistance with ongoing litigation. * Responding and/or objecting to subpoenas and other requests for records. * Supervising and participating in document productions. * Performing statistical, factual and some legal research and compiling data into chart formats or analysis. * Monitoring electronic communications and participating in investigations. * Performing computer searches with investigations of individuals and businesses. * Coordinating team activities with legal staff/departments and participating in group meetings. * Assisting in the review and negotiation of legal opinions for various DTCC subsidiary memberships. * Assisting in the review of legal opinions for making securities eligible at DTC. * Handling legally-related special projects and initiatives and providing legal support to DTCC business units. * Coordinate with OCRC and Chief Compliance Officer as necessary and appropriate regarding Legal / Regulatory Compliance matters including, but not limited, to AML and OFAC. Experience: 5 + years of experience in legal or regulatory functions including drafting, reviewing and negotiating contracts and other legal documents. One – two years financial industry experience a plus.
Knowledge/Skills: * Ability to meet deadlines with minimal supervision and to work analytically, as well as independently and as a team. * Exacting attention to detail and ability to prioritize. * Professional demeanor and superb organizational skills. * Ability to quickly and proactively identify and analyze problems, develop solutions and deliver results. * Strong technical skills in Microsoft Office, Word, Excel, PowerPoint and Access as well as the ability to learn new software and applications. * Knowledge of legal research tools such as Lexis Nexis, Westlaw, Concordance or Summation a plus.
Education, Training or Certification: BA/BS preferred and/or paralegal certification/training
