Job Description
Provide legal support relating to the drafting, review, negotiation and finalization of a variety of business contracts and legal correspondence; respond to and resolve contract compliance-related inquiries provide counsel to internal customers related to contract terms and regulatory guidelines. Prepare and assist in the processing of template agreements from initial drafting to finalization; participate in training of business personnel on the use of Baxter standard template agreements.
•Consistently exercise independent judgment to identify potential fraud and abuse concerns in proposed sales contracts
•Effectively negotiate contract terms with potential customers; provide guidance and recommendation on contract terms to Sales Operations team; work directly with external parties to identify alternative contract provisions to resolve differences between Baxter and external parties.
•Independently draft, review, and edit complex contracts involving non-standard terms
•Counsel internal partners to recommend best course of action through clearly articulating the risk and reward of proposed contract terms
•Provide guidance and advice to internal customers through contract interpretation
•Research and accurately interpret federal and state laws to determine what can and cannot be incorporated into new contracts
•Liaise with internal Specialists within the Legal team to seek advice and counsel on any potential issues identified in proposed contract terms (e.g.. - employment, export compliance, etc.)
•Partner with sales force and other business colleagues to ensure agreements accurately reflect what has been negotiated with external customers
•Develop and update templates used by clients for routine agreements.
Job Requirements
qualifications:
•Excellent writing, drafting and analytical skills
•Ability to collaborate and work with all types of individuals at all levels, internal and external, including attorneys, paralegals, business contacts and third party attorneys.
•Ability to drive projects to conclusion with minimal supervision.
•Ability to mentor and manage others
•Ability to conduct extensive document reviews
•Ability to work independently on a variety of tasks and manage specific projects
•Pro-actively identify and take action on legal issues.
•Ability to prioritize workload, meet deadlines and knowledge of legal resources.
•Bachelor's degree and paralegal certification or 4 or more specialty paralegal courses strongly desired or equivalent legal experience.
•Minimum of 8-10 years paralegal or equivalent legal experience.
•Has demonstrated the ability to mentor or supervise effectively.
•At least three years negotiating contracts, or at least three years experience in a transactional legal setting plus at least two years negotiating contracts.
•Experience in the health care industry a plus.
