Billion dollar global investment bank seeks JD with 3-6 years experience out of major law firm or combination law firm/major securities dealer with focus on institutional business and international markets and/or structured financial transactions. Provide regulatory counsel to broker dealer in relation to institutional investment banking, research and securities brokerage. Work with compliance officers, business management and other counsel and outside counsel regarding policies and procedures for broker dealer. Work with front and middle office to assist in transactional work including investment banking advisory and underwriting support. Any understanding of secured and unsecured loans, loan participations, lines of credit, swaps, transactions, credit derivatives, CLO, CDO financings, banking loans and regulations applicable to US branch of foreign bank a +. Assist in the implementation of rules concerning derivatives regulation including requirements applicable to swap dealers. This will entail a focus on CFTC, NFA and FRB rules and the DODD-F Act.
