In the Regions' Legal Department, an Assistant General Counsel will have the opportunity to provide legal advice and guidance to clients and colleagues on a wide variety of legal issues. Partners with business units and senior leaders to provide practical legal advice on issues related to complex business and banking matters
Provides strategic, pragmatic, and trusted legal advice to business units.
Advises management as to the interpretation of laws and regulations and on new and recent changes in laws and regulations that affect the Bank
Monitors and remains up to date on emerging legislative developments that may affect the Bank
Participates in line of business-initiated projects such as drafting policies and procedures on new regulations and amendments or new interpretations of existing regulations
Provides seasoned assessment of legal risk when business decisions are made, demonstrating particular consideration for the Bank's reputation as well as our clients and assets
May work with outside counsel on legal issues impacting the Bank
May lead and manage other Assistant General Counsel, specialists and/or paralegal staff
May provide assistance with training bankers, associates, operational staff and customer support staff on legal issues
Provides advanced legal counsel on a wide range of legal issues and works on complex issues where analysis of situations or data requires an in-depth evaluation of variable factors
Proactively develops relationships based on trust across the organization; grows internal and external networks
This position is exempt from timekeeping requirements under the Fair Labor Standards Act and is not eligible for overtime pay.
Licensed in good standing to practice law in at least one jurisdiction
Eight (8) years of legal experience at a regulatory agency, in the financial services industry, or at a law firm with strong knowledge of bank regulations or other relevant practical legal experience

This role will provide general administrative/legal duties for the Regions Corporate Trust Department, including fielding daily calls from Corporate Trust associates, advising regarding new bond issue and escrow questions, existing bond issues relating to permitted activities under the Indenture and other bond documents, actual defaults, potential defaults, or threatened or actual litigation of an account.
Review governing documents/indentures and help determine strategies, actions, or remedies as well as relevant notices for Holders, Issuers, Obligors, Credit Enhancers, Reporting Services or other relevant parties
Maintain an Advisory Services List and give regular updates to the Head of Corporate Trust relating to accounts on the list
Work with Corporate Trust associates to determine the selection of counsel and other experts in connection with accounts on the Advisory Services List.
Work with outside counsel in connection with strategies for enforcing remedies and relief and other issues relating to accounts on the Advisory Services List
Draft bondholder notices and default notices as necessary
Oversee and advise Corporate Trust associates in the review and management of other extraordinary events. Example: Bankruptcy filings, expired UCC Financing Statements, Forbearance Agreements, etc.
This position may be filled at a higher level depending on the candidate's qualifications and relevant experience.

Other factors which directly impact pay for individual associates include: experience, skills, knowledge, contribution, job location and, most importantly, performance in the job role. As these factors vary by individuals, pay will also vary among individual associates within the same job.
